Partnership Terms & Agreement

For peers, independent teachers, and organizations applying to join the "Mingyuan Planning Advisory" platform (the "Partner"). This Agreement is presented before you submit a partnership application, and checking "I have read and agree" is deemed as signing.

1. Nature of the Partnership and Services

1.1 The Platform ("Mingyuan Planning Advisory", "we", or "the Platform") provides information-display and brand-exposure services to vetted peers and independent advisors in Beijing's K–12 education-planning and family-protection-planning space.

1.2 By paying the partnership fee, you (the "Partner") receive:

1.3 Important: this is an information-display, brand-exposure, and lead-distribution service. The Platform makes no promise or guarantee of any specific number of leads, inquiries, or closed deals. Actual outcomes depend on market conditions and the Partner's own expertise and service capacity.

2. Fees and Payment

2.1 Two billing cycles are offered: annual ¥1,999 / year, or quarterly ¥699 / quarter (≈¥233/month). Fees are calculated from activation per the chosen cycle.

2.2 The fee is an information / display service fee. Except as stated below, it is not refundable on the grounds of "not acquiring clients":

2.3 Lapsed quarterly plans are taken down and tool access suspended; annual plans likewise. Renewal and price changes are notified at least 30 days in advance.

3. Partner Qualifications and Truthfulness of Information

3.1 You must hold the professional qualifications and background appropriate to your field. At the review stage you shall submit, as requested by the Platform, materials evidencing your professional identity and competence, which may include but are not limited to:

3.2 You are responsible for the truthfulness, legality, and accuracy of all displayed information (bio, credentials, case studies, contact details, etc.). The Platform may request supplementary materials during review and may reject applications with inconsistent or false materials.

3.3 The Platform performs a documentary review only and does not warrant the substantive truthfulness of a Partner's qualifications or content.

4. Platform Disclaimers and Scope of Liability

4.1 The Platform provides display technology only and does not participate in any transaction brokering, money handling, or contract signing between a Partner and end clients.

4.2 The Platform is not liable for a Partner's service quality, performance, deal outcomes, or any disputes arising therefrom.

4.3 You shall indemnify the Platform for any loss (including reputational harm, administrative penalties, and litigation costs) caused by false information, non-compliant operation, or service disputes attributable to you.

4.4 The Platform may remove, suspend, or terminate any Partner with repeated violations, false information, or complaints, without refund.

5. Compliance (Insurance-Specific Notice)

For Partners involved in insurance: the Platform only displays qualifications/information and refers clients to licensed agents. It does not sell insurance, collect premiums, or promise returns — all of which require a license. You must comply with the PRC Insurance Law and applicable internet-insurance regulations.

6. Personal Data and Intellectual Property

6.1 You authorize the Platform to display your submitted materials during the partnership; upon termination, the Platform will take down such displays within a reasonable period.

6.2 The Platform's design, copy, and data are its intellectual property and may not be scraped, copied, or commercialized by the Partner.

7. Term and Termination

7.1 The term follows the chosen cycle (1 year for annual, 3 months for quarterly) and may be renewed. Either party may terminate with 30 days' written notice; the Platform may terminate immediately for Partner violation.

7.2 Upon termination, displays are taken down; the current-cycle fee is non-refundable except where termination is caused by the Platform.

8. Dispute Resolution and Governing Law

8.1 This Agreement is governed by the laws of the People's Republic of China.

8.2 Unresolved disputes shall be submitted to the competent court in the Platform's locality.

8.3 By checking "I have read and agree", you are deemed to have signed this Agreement.
